Gabrielle E. Greene has been a professional in the financial services industry for over 25 years. Ms. Greene is a General Partner of Rustic Canyon/Fontis Partners, a private equity fund based in Pasadena, California. Prior to joining RC/Fontis, she was Chief Financial Officer of Gluecode Software, a venture-backed open source software company, which was sold to IBM in May 2005. Previously she was CFO of Crown Services, a California based consolidation of commercial contractors.
Before joining Crown Services, Ms. Greene was a general partner of the Citigroup sponsored BE/Greenwich Street Equity Fund. Prior to joining BE/Greenwich Street in 1998, Ms. Greene was a principal of HPB Associates, a New York based hedge fund, where she invested in both public and private companies, and also served as CFO of one of the HPB portfolio companies. From 1992 to 1994 Ms Greene was the founding managing director of the Commonwealth Enterprise Fund in Boston, a private equity fund formed by a consortium of New England Banks. From 1987 to 1992 Ms. Greene was a principal at UNC Partners in Boston, where she was responsible for private equity investments in diverse industries. Prior to completing her graduate school education, Ms. Greene worked for several years as an associate consultant at Bain & Company, a strategic management consulting firm based in Boston.
Ms. Greene received her B.A. from Princeton University in 1981, where she graduated from the Urban Studies program at the Woodrow Wilson School. In 1987, she received her MBA. from Harvard Business School and J.D. from Harvard Law School.
Ms. Greene is on the board of Whole Foods (NASDAQ: WFMI), where she is chairman of the audit committee and serves on the compensation committee. She is also a director of Stage Stores (NYSE: SSI), where she serves on the audit committee. Previously, Ms. Greene has served on the board of Bright Horizons (NASDAQ: BFAM), where she served on the audit committee until the company was acquired by Bain Capital. She has served on several non-profit boards, including the Boston Children’s Museum, and the Boston Partnership, where she chaired the audit committee. Ms. Greene currently chairs the board of Johnson Products, and has served on numerous private company boards. She is a member of the Massachusetts State Bar, and is a Henry Crown Fellow of the Aspen Institute. Ms. Greene resides in Pasadena, California and she is passionate about travel, hiking, reading and her two daughters.

Janet E. Kerr is the Founder and Executive Director of the Palmer Center for Entrepreneurship & the Law. She is a Professor of Law at the Pepperdine University School of Law where she teaches Corporations, Securities Regulations, Entrepreneurship, and Advanced Securities Regulations. In addition to her current positions at Pepperdine University, Professor Kerr is a nationally recognized author, lecturer and consultant in the area of securities law compliance, banking law, corporate governance and general corporate law. She has served as a consultant in several high profile cases dealing with financial institution fraud.
At La-Z-Boy, Inc. [NYSE], she is currently on the board of directors and is Chair of the company’s Corporate Governance/Nominating Committee and is former Chair of the Risk Committee. At TCW Strategic Income Fund, Inc. (a NYSE listed closed end registered investment company), Professor Kerr serves on the board of directors, and is currently a member of both the Audit and the Nominating Committees. Additionally, she is a member of the board of directors of TCW Funds, a related entity. Professor Kerr also currently serves as Chair of the Corporate Governance/Nominating Committee of Tilly’s, a privately-held clothing retailer. For six years, she served on the board of directors and as Chair of the Corporate Governance/Nominating Committee of CKE (Carl Karcher Enterprises), a NYSE-traded company. She was a member of CKE’s Compensation Committee and Executive Committee.
Professor Kerr is also a recognized entrepreneur having founded several technology companies over the last ten years. One of her companies, X-Laboratories, was jointly owned with HRL (Hughes Research Laboratories) and was one of the first companies created to assist in the commercialization of technologies in research institutions.
Professor Kerr has also served as an advisor on corporate issues and entrepreneurial strategies to such countries as the People’s Republic of China, France, and Thailand. Additionally, she has represented the U.S. Department of Commerce as a speaker at several international events.

In September 2010, Edith Perez was appointed to the Board of Directors of Con-way Inc. (NYSE: CNW), a $5 billion global freight and logistics company. She serves on Con-way Board’s Audit Committee and Governance and Nominating Committee.
In January 2011, Edith retired from Latham & Watkins LLP, a premier international business law firm with approximately 2000 attorneys in more than 30 offices around the world, where she served as lead counsel on commercial real estate, finance, corporate, and international transactions. Over the course of 26 years at Latham, she led hundreds of complex transactions for many of the firm’s Fortune 500 clients.
Prior to Edith’s tenure at Latham, she was a visiting attorney in Brazil and Mexico where she handled international transactions, including joint ventures involving technology and intellectual property. In addition, over the course of her career, Edith served on a number of corporate, governmental, and nonprofit boards, including: President of the Los Angeles Police Commission (post the Rodney King incident) with a $2 billion budget and staff of 80 employees dedicated solely to the Police Commission, governing the LAPD’s 15,000 sworn and civilian employees, their unions, and unique police facilities and equipment. As Police Commission President, Edith also was the media spokesperson for the Commission and the principal contact with the U.S. Department of Justice, FBI, and other federal, state, and local agencies.
Edith received her J.D. from the University of California at Berkeley (Boalt Hall) and her B.A. from the University of California at Davis.

Wendy Webb serves on the Board of Directors of $3 billion publicly-traded and San Diego-based Jack in the Box, Inc. (NASDAQ: JACK), where she is Chairman of the Nominating & Governance Committee and a ‘financial expert’ member of the Audit Committee.
A 20-year senior executive at The Walt Disney Company and a member of the leadership team at Ticketmaster Entertainment until its acquisition by Live Nation, Wendy is currently Managing Director at Tennenbaum Capital Partners, a private investment firm based in Los Angeles. At Tennenbaum Capital, Wendy leads Investor Relations and the firm’s Fundraising efforts with existing investors, as well as Strategic Communications/PR. She is deeply engaged as a leader of the firm’s pending TCP Capital Corp. (BDC) initial public offering.
At Disney, Wendy led strategic communications and investor interaction through some of the most interesting and eventful periods in that company’s history, including the multi-billion dollar acquisitions of CapCities/ABC and of Pixar, global theme park expansions in Paris and Hong Kong, as well as major changes in corporate governance and CEO succession. Additionally, as Executive Director and CEO of The Walt Disney Company Foundation, she modernized Disney’s philanthropic and corporate responsibility programs. At Ticketmaster Entertainment, she brought deep public company experience and communications expertise to their spin-out from IAC/Interactive Corp. Wendy has a strong background in finance, beginning her career as an investment banker with PaineWebber and Lehman Brothers in New York and London.
Wendy is an honors graduate from Smith College, where she captained the Varsity Tennis team, and she received her MBA from Harvard University. She served on the Smith College Board of Trustees, and currently sits on Smith’s President’s Council. She recently attended the Stanford Directors’ College.

She recently completed a term as chair for Housing & Real Estate for the Alcott Center for Mental Health Services. Fay was the Chief Executive Officer appointee of the Los Angeles County Risk Management Advisory Committee. The County has seen a 35% decrease on 3.7b in insurance costs in the past 3 years. Ms. Feeney graduated in 2007 from the UCLA/NAWBO LA PEAK Leadership Academy.

Ms. Blair is a transactional partner practicing in the areas of corporate, mergers and acquisitions, securities, finance, and general commercial matters. She serves as the managing partner of the Los Angeles Corporate Practice. She has advised both sellers and buyers on a variety of complex transactions, including stock and asset sales, mergers, management and leveraged buy outs, joint ventures, strategic alliances, and reorganizations. She represents companies in the structure, negotiation, diligence, and completion of transactions ranging from several million dollars to more than $500 million. She has worked in a diverse range of industries, such as mortgage banking, consumer and retail goods, internet and telecommunications, foreign manufacturing, biotechnology, and travel.
Ms. Blair also has extensive experience representing companies and underwriters in various corporate finance and capital market transactions, including IPOs, secondary and follow-on offerings, registered direct and at-the-market offerings, reverse mergers, PIPEs, offshore transactions, trust preferred, debt and preferred stock offerings, tenders offers, going private transactions, and venture capital financings.
She advises companies on state and federal regulatory and governance and compliance matters related to the SEC, FINRA, NYSE, NYSE Amex, Nasdaq, state regulators, and other authorities. Ms. Blair also acts as consistent corporate counsel for companies advising them on general corporate matters, including Board and management counseling, disclosure matters and controls, equity compensation, and other business matters.
Ms. Blair received her J.D. from Pepperdine University School of Law (cum laude; American Jurisprudence Award – Remedies; Moot Court Board; Trial Advocacy Tournament Chair; Dean's Merit Scholarship) and her B.A. from University of California, San Diego.

Darya has taught as an adjunct professor of Finance at New York University and has authored many financial planning articles. Darya is married with three children, lives in Pacific Palisades, CA, and currently serves on the Boards of the Westside YMCA Los Angeles and Mann Healthcare Partners. Darya is also the 2012 president of the Los Angeles Philanthropic Advisors Network (LA PAN).
